Tipperary, Ireland E45 V524. Printsmart Consulting Limited trades under the registered business name The Smart Group (“The Smart Group”). Please review the following Terms that govern your use of the Site, and information and products obtained through the Site. Your use of the Site, and/or acceptance of information and products through the Site, constitutes your agreement to these Terms of Use (the “Terms”). If you do not agree to these Terms, please do not use the Site, or use or obtain the products and services provided through the Site.

MODIFICATIONS TO SITE
The Terms may be amended by The Smart Group from time to time. In such case, The Smart Group will provide notice on the Site that the Terms have been modified and your use of the Site after placement of such notice shall constitute your agreement with the modified Terms. You agree that providing notice on the Site is adequate notice, and that it is your responsibility to, and you agree to, regularly review the Terms to be sure you are familiar with those that are most current.
The Smart Group may at any time, and from time to time, modify or discontinue, temporarily or permanently, the Site (or any part thereof). You agree that The Smart Group shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site. Notwithstanding the foregoing, The Smart Group undertakes no responsibility whatsoever for updating the Site or content therein. TERMINATION OF ACCESS
We reserve the right, in our sole discretion, immediately and without notice to suspend or terminate your ability to access the Site, for any reason or no reason, including any breach by you of these Terms or conduct by you that we determine to be inappropriate.
PERMITTED USE AND PROHIBITED USE IN GENERAL
We hereby grant you limited permission to use the Site so long as we provide you with access, and solely for your personal use. For the avoidance of doubt, we are not giving you any rights or license with respect to any aspect of the Site, all rights being held by us.
We reserve the right, in our sole and absolute discretion, to block and/or refuse to allow use of the Site by one or more users, including you, at any time and for any reason.
Without limiting the foregoing, we specifically prohibit the use of the Site for any purpose deemed improper by us. Without limitation as to other restrictions identified herein, you shall not upload to, distribute through or otherwise publish through the Site any content which is obscene, threatening, invasive of privacy or publicity rights, harmful of minors in any way, abusive, or contain expressions of hatred, bigotry, racism or pornography, or are otherwise objectionable, or that would constitute or encourage a criminal offense, violate the rights of any party or violate any law or that you do not have a right to make available under contractual or fiduciary relationships. You shall not act in a manner that negatively affects other users’ ability to interact with the Site
ERRORS AND OMISSIONS
Occasionally there may be information on our Site that contains typographical errors, inaccuracies or omissions. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information if any information in the Site is inaccurate at any time without prior notice

You acknowledge and agree that the Site contains proprietary information, content and other materials owned or controlled by Swag Hut and protected by applicable intellectual property and other laws (including, without limitation, copyrights, trademarks, service marks and patents).

You acknowledge that you do not acquire any ownership rights in any intellectual property through your use of the Site.

Terms & Conditions
1. INTRODUCTION
1.1. These Terms & Conditions (“T&Cs”) govern participation in the Free Brand Audit Campaign (“Promotion”) offered by Printsmart Consulting Ltd T/A The Smart Group (“The Smart Group,” “we,” or “us”).
1.2. By applying for or participating in this Promotion, you (“Applicant”) acknowledge that you have read, understood, and agree to be bound by these T&Cs.
2. ELIGIBILITY
2.1. This Promotion is open to businesses that are:
– Incorporated and operating within the Republic of Ireland; and
– Able to demonstrate a minimum annual marketing spend of €25,000 (twenty-five thousand euros).
2.2. Applicants must be at least 18 years old and authorized representatives of the business on whose behalf they are applying.
2.3. Printsmart Consulting Ltd T/A The Smart Group reserves the right to request documentation or other proof of eligibility at any stage, including marketing spend invoices or financial statements.
3. APPLICATION & SELECTION
3.1. To apply for the Promotion, Applicants must complete the official application form and provide accurate and complete information, including:
– Company name and contact details
– Proof of marketing spend (if requested)
– Overview of existing marketing channels and objectives
3.2. Submission of an application does not guarantee acceptance.
3.3. Printsmart Consulting Ltd T/A The Smart Group will review and assess each application at its sole discretion and may accept or reject applications without providing any reason.
4. SCOPE OF THE FREE BRAND AUDIT
4.1. The free brand audit will include a high-level review of the Applicant’s brand positioning, messaging, visual identity, and marketing channels, as determined by The Smart Group.
4.2. Deliverables may include a short report with strategic recommendations and insights.
4.3. Any services beyond the scope of the free brand audit (e.g., additional research, campaign creation, design, or implementation) may be offered separately under a paid agreement.
5. EXCLUSIONS & LIMITATIONS
5.1. The Promotion is not available to businesses located outside the Republic of Ireland or those that cannot demonstrate the required annual marketing spend of €25,000.
5.2. The Promotion cannot be combined with other offers, discounts, or promotions, unless otherwise stated by The Smart Group.
5.3. The Smart Group reserves the right to decline or retract the free audit if the Applicant fails to meet any eligibility criteria or if providing the audit would breach applicable laws or regulations.
6. APPLICANT OBLIGATIONS
6.1. Applicants must provide accurate and truthful information during the application process. Any incomplete, false, or misleading information may result in disqualification.
6.2. Applicants agree to promptly provide any additional information or documentation reasonably requested by The Smart Group to facilitate the free brand audit.
6.3. Any insights or recommendations provided by The Smart Group under this Promotion should be treated as confidential and must not be shared publicly without written consent.
7. CONFIDENTIALITY
7.1. The Smart Group will treat any confidential business information provided by the Applicant with reasonable care and use it solely for the purposes of conducting the free brand audit.
7.2. The Applicant agrees to respect the confidentiality of any materials or proprietary information provided by The Smart Group during the Promotion.
8. INTELLECTUAL PROPERTY RIGHTS
8.1. All intellectual property rights in any materials or deliverables provided by The Smart Group remain the exclusive property of The Smart Group, unless otherwise agreed upon in writing.
8.2. Applicants are granted a non-exclusive, non-transferable license to use the deliverables for internal purposes only.
9. LIMITATION OF LIABILITY
9.1. The free brand audit is provided “as is.” The Smart Group makes no warranties, express or implied, about the accuracy or completeness of any advice or recommendations.
9.2. The Smart Group shall not be liable for any loss or damage (including, without limitation, indirect, incidental, special, or consequential damages) arising out of or in connection with the Promotion.
9.3. In any event, the total liability of The Smart Group shall not exceed the fair market value of the services provided under this Promotion.
10. TERMINATIONS & AMENDMENTS
10.1. The Smart Group reserves the right to modify, suspend, or terminate this Promotion at any time, without notice, for any reason.
10.2. The Smart Group may amend these T&Cs at its sole discretion by posting updated terms on its website or notifying participants directly. Applicants are responsible for reviewing any updated terms.
11. GOVERNING LAW & JURISDICTION
11.1. These T&Cs and any disputes arising from or in connection with them shall be governed by and interpreted in accordance with the laws of the Republic of Ireland.
11.2. Any legal action or proceeding arising out of or relating to these T&Cs shall be subject to the exclusive jurisdiction of the Irish courts.
12. ACCEPTANCE OF TERMS
12.1. By applying for or participating in this Promotion, Applicants confirm they have read, understood, and agree to these Terms & Conditions in full.
13. MARKETING COMMUNICATIONS CONSENT
13.1. By applying for the Free Brand Audit Campaign, the Applicant acknowledges and agrees that Printsmart Consulting Ltd T/A The Smart Group may use the contact information provided during the application process to send marketing communications, including updates, promotions, and other relevant information about our products and services.
13.2. Applicants can withdraw their consent to receive marketing communications at any time by clicking the “unsubscribe” link in any email or contacting us directly at info@thesmartgroup.ie.
13.3. All personal data will be processed in accordance with our Privacy Policy, which can be accessed via our website footer.
